Description
The Senior Investment Counsel will oversee the legal aspects of Polymath & Boffin’s investment activities, advising on corporate and investment structures, drafting and negotiating transaction documents, and ensuring regulatory compliance. Working closely with senior management, the role will support investment execution and strategic development, manage legal risks, and oversee internal legal resources and external advisers. This is a full-time position based in Malta, with opportunities for travel and remote work.
Key Responsibilities
- Investment Transactions: Lead the legal aspects of investment transactions across Hybrid Capital, Real Estate and Private Equity, from structuring through to completion.
- Corporate and Investment Structuring: Develop and advise on corporate, fund and co-investment structures that support the firm’s investment objectives.
- Legal Documentation and Negotiation: Draft, review and negotiate investment agreements, financing instruments, memoranda and related transaction documents.
- Due Diligence and Risk Management: Oversee legal due diligence, identify material risks and recommend safeguards to protect the firm and its investors.
- Regulatory Compliance: Advise on applicable investment fund, financial and commercial law requirements, working with compliance teams to ensure alignment.
- Team and External Adviser Oversight: Supervise internal legal resources and coordinate external counsel and service providers, ensuring timely, high-quality and cost-effective support.
- Strategic Legal Advice: Advise senior management and investment teams on legal matters, governance and strategic initiatives.
Requirements and Skills
- Strong expertise in Financial and Commercial Law.
- Proficiency in financial structures, related document preparation, including instruments, memorandums, policies, contracts and others.
- Experience in participation in negotiations during transactions, providing sound advice to stakeholders.
- Thorough understanding of Investment Funds, related regulations and risk management practices.
- Exceptional analytical, organisational, and problem-solving abilities.
- Effective written and verbal communication skills.
- Prior experience in alternative investment funds or asset management is an advantage.
- A legal degree and licensure to practice law, with relevant professional experience.
